Terms of Service for Combinetic

By using Combinetic (the "Application"), you agree to be bound by the following terms and conditions (the "Terms"). If you do not agree to these Terms, please do not use the Application.

1. Use of the Application

You may use the Application for legitimate purposes only. You agree not to use the Application for any illegal, fraudulent, or unauthorized purpose, including but not limited to hacking, spamming, or any other activity that violates applicable laws or regulations. We reserve the right to suspend or terminate your access to the Application at any time if we believe you have violated these Terms or engaged in any other conduct that we deem harmful or inappropriate.

2. Payment and Billing Terms

Access to the Application requires a valid credit card or purchase order. By providing a credit card or purchase order, you authorize us to charge you for any fees or charges associated with your use of the Application. Your subscription will automatically renew on a monthly or yearly basis (depending on the subscription you select), and you will be charged the then-current subscription fee unless you cancel your subscription at least 30 days in advance. All fees are non-refundable. You are responsible for any and all taxes and other fees associated with your use of the Application.

2a. Billing Cycle and Device Count

Your billing is determined by a system process that runs every six hours, which we refer to as our watermark plan. This process checks and counts the number of devices registered under your organization, as monitored by our Mobile Device Management (MDM) solution. For organizations on paid plans, we count the total number and record the highest device count after 24 hours as your "High Watermark". This count resets at the end of every month and starts again from zero. Please note, the billing for each plan will be based on the highest available watermark count.

2b. Purchase and Refund Policy

After your first purchase, you have 14 days to notify us if you would like a full refund. Please note, no refunds will be given after this period except under specific plan conditions.

  • Starter Plus Plan: This plan requires 30 days notice for cancellation and will be billed at the highest available watermark count at the end of the 30-day notice period.

  • Pro Plan: This plan can be cancelled at any time, however, refunds will not be given after 14 days of initial subscription. The service will continue until the cancellation date.

  • Enterprise Plan: This plan follows the same cancellation and refund stipulations as the Pro plan.

Termination for Abuse or Repeated Violations: If Combinetic decides to terminate an account due to abuse or repeated violations of our policies (at our sole discretion), no refunds will be given regardless of any term or cancellation grace period.

Downgrading Plans: Downgrading of plans is not possible unless our support team is contacted. To downgrade your plan, please reach out to our support team for assistance.

2c. Cancellation and Early Termination

Users must provide a 30-day notice for cancellation of any plan. For commitment plans, early termination may incur fees up to the remaining time in the commitment period, excluding additional devices. If a user has more devices than their commitment covers, the excess devices will be deactivated at the end of the current monthly cycle, while the committed devices will continue to operate until the end of the commitment billing cycle.

3. Disclaimer of Liability

Mile Five Inc. and/or its independent developer(s) (collectively, "we", "us", or "our") make no representations or warranties of any kind, express or implied, about the completeness, accuracy, reliability, suitability, or availability with respect to the Application or the information, products, services, or related graphics contained in the Application for any purpose. Any reliance you place on such information is therefore strictly at your own risk.

In no event will we be liable for any loss or damage including without limitation, indirect or consequential loss or damage, or any loss or damage whatsoever arising from loss of data or profits arising out of, or in connection with, the use of the Application.

4. Indemnification

You agree to indemnify, defend, and hold harmless Mile Five Inc., Combinetic Systems and its independent developer(s) & affiliated parties from and against any and all claims, damages, liabilities, costs, and expenses, including reasonable attorneys' fees, arising from or relating to your use of the Application or your breach of these Terms.

5. Prohibited Uses and Abuse Policies

The use of Combinetic for any unlawful or illegal purposes, including deploying malware, viruses, engaging in hacking activities, and any other activities deemed illegal under applicable laws and regulations, is strictly forbidden. Immediate action will be taken against any abuse, misuse, or illegal activities, which may include suspension of user accounts, blacklisting of devices, and legal action. Users are encouraged to report any suspected illegal activities or misuse of Combinetic services to [email protected].

Further, the use of false information at registration time for either the registrant's name, billing or contact address, email address or organization will result in account suspension until verification measures are taken. Combinetic or Mile Five Inc. may suspend an account either through automated means or manually, should it be identified that the provided accountability registrant data is inaccurate or does not provide sufficient data. Combinetic's Trust & Safety team may reach out to automatically suspended accounts to verify and correct data to re-enable services.

6. Changes to the Terms

We reserve the right to modify these Terms at any time without prior notice. By continuing to use the Application after any such modification, you agree to be bound by the modified Terms.

7. Governing Law and Jurisdiction

These Terms and your use of the Application shall be governed by and construed in accordance with the laws of the Province of Ontario, without giving effect to any principles of conflicts of law. Any dispute arising out of or related to these Terms or the Application shall be brought exclusively in the provincial or federal courts located in Windsor, Ontario, and you consent to the jurisdiction of such courts.

8. Promo and Referral Codes

From time to time, we may offer promo and referral codes that can be used for discounts on our services. The following terms apply to these codes:

  • Discretionary Use: Codes are used at the user's discretion and can be cancelled, modified, or amended at any time at our discretion.

  • Lifetime Codes: Lifetime codes are valid for one individual, regardless of organization. You cannot sign up using the same codes for multiple companies or all lifetime codes may be cancelled.

  • Plan Restrictions: Codes are only valid for month-to-month plans. Annual agreements do not qualify for codes as there is already an applied discount.

  • Combining Offers: Codes cannot be combined with any other offer.

  • Sharing and Distribution: Codes cannot be shared or maliciously distributed. Any misuse of codes may result in cancellation of the code and/or suspension or termination of your account.

  • Scrapers and Bots: The use of scrapers, bots, or other automated methods to test or use codes is strictly prohibited and may result in a permanent block.

  • Pre-Tax Discount: The discount amount provided by a code is taken off the pre-tax amount, if applicable.

  • No Cash Value: Codes have no cash value and cannot be exchanged for cash or any other form of credit.

  • Code Expiry: We reserve the right to set and change expiry dates for any codes at our discretion.

  • Code Value: We reserve the right to set and change the value or discount amount of any codes at our discretion.

  • Code Application: After signing up with the correct code or referral link, Combinetic will provide a unique code for your account to apply at checkout for paid plans. It is your responsibility to enter these codes at checkout. Transactions that need to be reversed to re-apply a code may be subject to refund fees.

9. Mile Five Inc.

Mile Five Inc. is the holding company for the Application and its independent developer(s). In the future, the Application may be operated by a separate legal entity. You acknowledge that your use of the Application is not intended to create any partnership, joint venture, or other similar relationship between you and Mile Five Inc.
